Terms and Conditions

Please read these Terms and Conditions carefully before using the Services. These Terms and Conditions (the "Terms") form a binding legal agreement between you ("you" or "User") and Alpha Signal, LLC, a Delaware limited liability company with a mailing address at 214 Barton Springs Rd, Austin, TX 78704 ("Alpha Signal," "we," "us," or "our"). The Terms govern your access to and use of the website located at alphasignal.ai, alphasignal.ai/newsletter, and any related subdomains (collectively, the "Site"), the Alpha Signal email newsletter, and any other related products, features, and services we provide (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not use the Services.

IMPORTANT: These Terms contain a binding arbitration clause and class action waiver in Section 14 that govern how disputes between you and Alpha Signal are resolved. By using the Services, you agree to resolve disputes through individual arbitration and waive your right to a jury trial and to participate in class actions, except as expressly provided in Section 14.

1. Eligibility

To use the Services, you must be at least 16 years of age. By using the Services, you represent and warrant that (i) you are at least 16 years old; (ii) you have the legal capacity to enter into a binding contract with Alpha Signal; (iii) you are not prohibited from using the Services under the laws of the United States or any other applicable jurisdiction; and (iv) the information you provide to us is accurate and complete.

If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

2. Description of the Services

Alpha Signal is an AI-focused newsletter and news publication. The Services include:

A free subscription tier providing access to the Alpha Signal newsletter and content on the Site;
Paid monthly and annual subscription tiers providing access to premium features and content;
User-facing features that may include commenting, bookmarking, and sharing content;
Sponsored content, advertising, and affiliate placements, as further described in Section 9 and in our Privacy Policy.

We may add, modify, suspend, or discontinue any feature of the Services at any time, with or without notice.

3. Accounts and Registration

Certain features of the Services may require you to subscribe or create an account. When you do, you agree to:

Provide accurate, current, and complete information;
Maintain and promptly update your information;
Keep your account credentials confidential and not share them with any third party;
Notify us promptly at [email protected] of any unauthorized access to or use of your account.

You are responsible for all activities that occur under your account. We may suspend or terminate your account if we believe, in our sole discretion, that you have violated these Terms or that doing so is necessary to protect the Services or other users.

4. Subscriptions, Payment, and Refunds

4.1 Paid Subscriptions

We offer monthly and annual paid subscription plans. Pricing, billing frequency, and the scope of paid features are disclosed at the point of purchase and may be updated from time to time.

4.2 Billing and Automatic Renewal

Paid subscriptions are billed in advance on the applicable monthly or annual cycle. Unless you cancel before the end of the then-current billing period, your subscription will automatically renew at the then-current rate, and you authorize us (and our payment processor) to charge your payment method for each renewal. You can cancel auto-renewal at any time from your account settings or by emailing [email protected]. Cancellation will take effect at the end of the then-current billing period.

4.3 Refund Policy

Seven-Day Refund Window. If you are not satisfied with your paid subscription, you may request a full refund within seven (7) days of your initial subscription sign-up by emailing [email protected] with the subject line "Refund Request." Refund requests received after seven (7) days from initial sign-up will not be honored, and renewal charges are non-refundable except where required by applicable law.

4.4 Taxes

You are responsible for all applicable taxes (including sales, use, and value-added taxes) associated with your purchase of paid subscriptions, unless we are required by law to collect them on your behalf.

4.5 Price Changes

We may change subscription pricing at any time. If we change pricing applicable to your subscription, we will provide notice prior to the change taking effect for your next billing period. Continued use of the paid Services after a price change constitutes acceptance of the new price.

5. User-Generated Content

The Services may allow you to post comments and otherwise submit content (collectively, "User Content"). You retain ownership of your User Content. By submitting User Content, however, you grant Alpha Signal a worldwide, non-exclusive, royalty-free, sublicensable, transferable, perpetual, and irrevocable license to use, host, store, reproduce, modify, create derivative works of, distribute, publish, and display your User Content in connection with operating, promoting, and improving the Services.

You represent and warrant that: (i) you own or have the necessary rights to submit your User Content and to grant the license above; (ii) your User Content does not infringe or violate the rights of any third party, including intellectual property, privacy, or publicity rights; and (iii) your User Content complies with these Terms and applicable law.

We are not obligated to monitor, moderate, or store User Content. We reserve the right (but are not obligated) to remove, edit, or refuse to publish any User Content at our sole discretion and without notice.

6. Acceptable Use

You agree not to:

Use the Services for any unlawful, harmful, fraudulent, infringing, or harassing purpose;
Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express written permission;
Use any robot, spider, scraper, crawler, or other automated means to access, copy, or extract content from the Services without our prior written permission;
Bypass or attempt to bypass any security or access-control measure of the Services;
Reverse engineer, decompile, or attempt to derive the source code of any part of the Services;
Transmit any virus, worm, malware, or other harmful code;
Use the Services to send unsolicited commercial communications (spam);
Impersonate any person or misrepresent your affiliation with any person or entity;
Use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use of the Services;
Use the Services or any content from the Services to train, fine-tune, or otherwise develop any machine learning or artificial intelligence model without our prior written permission.

7. Intellectual Property

7.1 Our Content

The Services and all content made available through the Services, other than User Content and third-party content, including text, graphics, logos, images, audio, video, software, and the selection, arrangement, and "look and feel" of the Services (collectively, the "Alpha Signal Content"), are owned by Alpha Signal or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws. The Alpha Signal name, logo, and all related marks are trademarks of Alpha Signal, LLC.

7.2 Limited License to You

Subject to your compliance with these Terms, Alpha Signal grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and view the Alpha Signal Content for your personal, non-commercial use. No other right or license is granted, whether by implication, estoppel, or otherwise.

7.3 Feedback

If you submit suggestions, ideas, or other feedback about the Services, you grant Alpha Signal a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose, without any obligation to you.

8. Copyright Complaints

If you believe that any content on the Services infringes your copyright, please send a notice that complies with the Digital Millennium Copyright Act ("DMCA") to our designated agent at [email protected]. Your notice must include: (i) a physical or electronic signature of the copyright owner or authorized agent; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the allegedly infringing material and its location on the Services; (iv) your contact information; (v) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (vi) a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.

9. Sponsored Content, Advertising, and Affiliate Disclosures

The Services include sponsored content, advertising, and affiliate placements. Consistent with the U.S. Federal Trade Commission's Endorsement Guides:

Sponsored placements are clearly labeled (for example, with "Sponsored," "Partner," or "Ad");
Sponsored content is paid for by the named sponsor and does not reflect editorial endorsement by Alpha Signal unless we expressly say so;
We may receive a commission when you click on affiliate links and complete a qualifying action;
Our cost-per-lead and customer referral programs require you to expressly opt in before any Personal Information is shared with a sponsor, as further described in our Privacy Policy.

Your interactions with sponsors and advertisers (including purchases, downloads, and communications) are solely between you and the sponsor or advertiser. We are not responsible for any aspect of those interactions.

10. No Investment, Legal, or Professional Advice

THE SERVICES, INCLUDING ALL CONTENT IN THE ALPHA SIGNAL NEWSLETTER AND ON THE SITE, ARE PROVIDED FOR GENERAL INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE INVESTMENT, FINANCIAL, LEGAL, TAX, ACCOUNTING, MEDICAL, OR OTHER PROFESSIONAL ADVICE. Nothing in the Services should be interpreted as a recommendation to buy, sell, or hold any security or other financial instrument, or as an offer to provide professional services. You should consult a qualified professional advisor before making any decision based on information provided through the Services. Alpha Signal makes no representations or warranties about the accuracy, completeness, suitability, or timeliness of any content in the Services, and you use such content at your own risk.

11. Third-Party Services

The Services may contain links to, or integrations with, third-party websites, products, or services that are not owned or controlled by Alpha Signal. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is subject to the terms and privacy policies of those services.

12. Disclaimers

THE SERVICES AND ALL ALPHA SIGNAL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALPHA SIGNAL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE OR COMPLETE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ALPHA SIGNAL OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY (INCLUDING CONTRACT, TORT, NEGLIGENCE, AND STRICT LIABILITY) AND EVEN IF ALPHA SIGNAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL ALPHA SIGNAL'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ALPHA SIGNAL IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.

14.1 Informal Resolution

Before bringing a formal proceeding, you and Alpha Signal agree to first attempt to resolve any dispute informally for at least sixty (60) days. To begin informal resolution, you must send a written notice describing the dispute and your requested relief to [email protected].

14.2 Binding Arbitration

Except for the matters described in Section 14.4, any dispute, claim, or controversy arising out of or relating to the Services or these Terms (a "Dispute") that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The arbitration will be conducted in the English language, and the seat of arbitration will be Wilmington, Delaware, unless you and we agree otherwise. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND ALPHA SIGNAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

14.4 Exceptions

Notwithstanding the foregoing, either party may: (i) bring an individual claim in small claims court, if eligible; and (ii) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14.5 Right to Opt Out of Arbitration

You may opt out of the arbitration agreement in this Section 14 by sending written notice of your decision to opt out to [email protected] within thirty (30) days after you first become subject to these Terms. Your notice must include your full name, mailing address, email address, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provisions of these Terms.

14.6 Severability of This Section

If any portion of this Section 14 is found to be unenforceable, the remaining portions will remain in effect, except that if the class action waiver is found to be unenforceable, then this entire Section 14 will be null and void, and the parties' disputes will be resolved in court under Section 15.

15. Governing Law and Venue

These Terms and any Dispute between you and Alpha Signal are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Subject to Section 14, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware for any matter that is not subject to arbitration.

16. Termination

You may stop using the Services and cancel your subscription at any time. We may suspend or terminate your access to the Services, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, the provisions of these Terms that by their nature should survive termination (including Sections 5, 7, 10, 12, 13, 14, 15, and 17) will survive.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Alpha Signal regarding the Services and supersede all prior agreements and understandings.

17.2 Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will provide notice (for example, by posting the updated Terms on the Site and updating the "Effective Date"). Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

17.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

17.4 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

17.5 Assignment

You may not assign or transfer these Terms or your rights under them, in whole or in part, without our prior written consent. We may assign these Terms freely.

17.6 Force Majeure

We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, or pandemic or epidemic conditions.

17.7 Notices

Notices to Alpha Signal must be sent to [email protected]. Notices to you may be sent to the email address associated with your account or, if no account exists, by posting on the Site.

17.8 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.
